Terms of Service

1. Acceptance of Terms

By accessing or using the BidBinBuy platform — including our website, mobile apps, and any related services (collectively, the "Platform") — you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and BidBinBuy, LLC.

2. The Platform

BidBinBuy is a marketplace that connects buyers with independently operated liquidation bin stores. BidBinBuy is NOT a retailer and does NOT own, warehouse, or ship any of the items listed on the Platform. All transactions are between buyers and the individual store owners. BidBinBuy acts solely as a technology intermediary and is not a party to the purchase contract between buyers and store owners.

3. Accounts

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the security of your credentials. Do not share your password.
• You are responsible for all activity that occurs under your account.
• You must be at least 18 years old to create an account on BidBinBuy.
• You agree to notify us immediately at legal@bidbinbuy.com if you suspect unauthorized access to your account.

4. Store Owners

If you operate a bin store on the Platform, you agree to:

• Provide accurate and complete product descriptions, category information, and pricing.
• Honor all paid orders. Failure to fulfill a paid order may result in account suspension.
• Not list prohibited items (see Section 6).
• Pay all applicable platform fees as set out in your subscription plan.
• Use buyer, lead, subscriber, and order information only for legitimate store operations, customer support, order fulfillment, and marketing messages where the customer gave the required consent.
• Honor unsubscribe, STOP, privacy, and deletion requests promptly and do not sell, export, or transfer BidBinBuy customer lists outside the Platform without a separate lawful basis and written permission from BidBinBuy.
• Comply with all applicable tax laws in your jurisdiction. BidBinBuy does not collect or remit sales tax on your behalf unless required by law.
• Ensure your listed items are legally owned and not subject to any lien, claim, or encumbrance that would prevent sale.

5. Buyers

• Exception — Item Not as Described: If an item is materially misrepresented (e.g., listed as "working" but is broken), contact the store owner within 48 hours of receipt or pickup. Resolution is at the store owner's discretion.
• Payment must be completed at the time of purchase.
• Shipping charges may include the live carrier quote, an optional shipping markup, and a BidBinBuy shipping service fee. These charges are paid by the buyer at checkout and are not deducted from the store owner's item revenue.
• Pickup orders must be collected within 14 days of the order date. Orders not picked up within 14 days may be forfeited without refund at the store owner's discretion.

6. Prohibited Items

The following items may not be listed or sold on the Platform:

• Weapons, firearms, ammunition, and related accessories
• Controlled substances, prescription medications, or drug paraphernalia
• Counterfeit goods or items infringing intellectual property rights
• Stolen property or items obtained illegally
• Adult or sexually explicit content
• Items subject to export controls or international trade sanctions

BidBinBuy reserves the right to remove listings and suspend accounts at any time for suspected violations of this section.

7. Payments

• All payments are processed by Square. By making a purchase, you agree to Square's terms and privacy policy.
• Platform fees charged to store owners are non-refundable once processed.
• Customer-paid shipping service fees, carrier charges, and shipping markups are disclosed before payment and are generally non-refundable once a label has been purchased or a shipment has been accepted by the carrier.
• BidBinBuy Reward Points have no cash value, cannot be transferred between accounts, and expire after 12 consecutive months of account inactivity.
• BidBinBuy may fund customer reward credits or promotional discounts from platform funds. Unless a store owner has explicitly opted into a store-funded promotion, those rewards are intended to reduce the buyer's payment amount without reducing the store owner's item payout.
• Store-funded discounts, flash sales, auctions, mystery boxes, pallet flips, bulk lots, giveaways, and other growth programs require the store owner's permission in the dashboard or onboarding flow.

7A. Rewards, Giveaways, and Processing Fees

• Giveaways may allow free entry with no purchase necessary. If selected, the winner may be required to pay a disclosed processing fee and any applicable shipping charges before receiving the prize.
• Giveaway processing fees may be shared between BidBinBuy and the participating store according to the store's program settings. The fee is separate from the stated retail value of the prize.
• Stores may use slow-moving, excess, or liquidation inventory as giveaway prizes, but all prizes must comply with the prohibited-items rules and must be accurately described.
• BidBinBuy may redraw, cancel, or modify a giveaway if the prize becomes unavailable, the winner does not claim the prize in time, fraud is suspected, or the giveaway cannot be completed legally or operationally.

8. Customer Data, Marketing, and AI Support

• BidBinBuy may provide store owners with access to customer, lead, subscriber, order, pickup, and shipping information tied to that store so the store can fulfill orders and support customers.
• Store owners may send email or SMS marketing only to contacts with the required consent and must include all legally required opt-out language.
• BidBinBuy may use platform-level marketing opt-ins to promote marketplace deals, nearby stores, and BidBinBuy services, subject to the Privacy Policy and applicable law.
• The AI support agent may use store training, order status, shipping records, and support chat history to answer basic questions. It is not a substitute for human review when a refund, dispute, legal issue, safety issue, or unresolved fulfillment problem is involved.
• Users can request human escalation from the support chat. BidBinBuy and the relevant store may review the chat transcript and order context to resolve the issue.

9. Intellectual Property

The BidBinBuy Platform, including its name, logo, design, software, and all associated branding, is owned by BidBinBuy, LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent. By listing products on the Platform, store owners grant BidBinBuy a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute their product listings and associated images for the purpose of operating and promoting the Platform.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• BidBinBuy is not liable for the quality, accuracy of description, safety, or legality of any item listed by a store owner.
• BidBinBuy is not liable for any conduct, actions, or omissions of store owners or buyers.
• BidBinBuy is not liable for shipping delays, carrier errors, or lost packages.
• BidBinBuy's maximum aggregate liability to you for any claim arising from your use of the Platform is limited to the total fees you paid to BidBinBuy in the 30 days immediately preceding the event giving rise to the claim.

11. Dispute Resolution

We encourage you to resolve disputes using the following process:

1. First, contact the store owner directly through the Platform messaging system.
2. If unresolved, escalate to BidBinBuy Support at legal@bidbinbuy.com.
3. If still unresolved after 30 days, disputes shall be settled by binding arbitration administered by JAMS under its Streamlined Arbitration Rules.

Class Action Waiver: You agree to resolve disputes with BidBinBuy on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against BidBinBuy.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Florida, without regard to its conflict of law principles.

13. Termination

BidBinBuy reserves the right to suspend or permanently terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraud, or otherwise acted in a manner harmful to the Platform, other users, or BidBinBuy, LLC. Termination does not affect any rights or obligations arising before termination.
